1. Acceptance of Terms

Welcome to the website of Scientific Specialties, Inc. ("SSIbio," "we," "our," or "us"), located at www.ssibio.com (the "Site"). By accessing or using the Site in any manner, you ("User" or "you") agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, please do not use the Site.

These Terms apply to all visitors, including customers, distributors, partners, and any other individuals who access or use the Site. SSIbio reserves the right to modify these Terms at any time. Your continued use of the Site after any changes constitutes acceptance of the revised Terms.
 

2. Description of the Site

The Site is an informational product catalog operated by SSIbio, a California-based manufacturer of life science laboratory consumables. The Site allows users to:

  • Browse and research SSIbio products, including pipette tips, PCR consumables, tubes, cryogenic products, HTS products, and racks
  • Submit product inquiries via the contact form
  • Access product literature, certificates of analysis, and selection guides
  • Locate authorized SSIbio distributors

The Site does not currently support direct online purchases. All product orders are processed through SSIbio's sales team or authorized distributors.

A. SSIbio Content

All content on the Site — including but not limited to text, product descriptions, images, photographs, graphics, logos, icons, data sheets, technical specifications, videos, and software — is the property of Scientific Specialties, Inc. or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws.

SSIbio's trademarks and registered trademarks include: SSIbio®, Vertex®, NoStick®, EcoPac®, UltraFlux®, SnapStrip®, Pirouet™, SureSeal®, IntegraSeal™, GripSeal®, DuraTube™, CryoFreeze®, Stargrip™, GripRack™, Citadel™, Flipper®, and IsoFreeze®. Unauthorized use of any SSIbio trademark is strictly prohibited.

B. Permitted Use

You may access and use the Site for lawful, non-commercial informational purposes only. You may print or download a reasonable number of pages for your personal or internal business reference, provided you do not remove any copyright or proprietary notices.

C. Prohibited Use

You may not, without SSIbio's prior written consent:

  • Copy, reproduce, republish, upload, post, transmit, or distribute any Site content for public or commercial purposes
  • Modify, adapt, translate, or create derivative works from Site content
  • Remove, alter, or obscure any copyright, trademark, or proprietary notice
  • Use SSIbio's trademarks, logos, or branding in any manner that implies endorsement or affiliation without written authorization
  • Scrape, crawl, or use automated tools to extract data from the Site
  • Frame or mirror the Site or any portion of it on another website

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SSIBIO DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • WARRANTIES THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS
  • WARRANTIES AS TO THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT ON THE SITE

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.
 

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SSIBIO, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE, INCLUDING BUT NOT LIMITED TO:

  • Loss of data, revenue, profits, or business opportunities
  • Damages resulting from reliance on any product information, specifications, or content on the Site
  • Damages resulting from unauthorized access to or alteration of your transmissions or data

SSIBIO'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SITE SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100.00).

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitation may not apply to you.
 

10. Indemnification

You agree to defend, indemnify, and hold harmless Scientific Specialties, Inc. and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Site
  • Your violation of these Terms
  • Your violation of any third-party right, including intellectual property or privacy rights
  • Any content or information you submit through the Site
     

11. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or related to the Site or these Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in San Joaquin County, California, and you hereby consent to the personal jurisdiction and venue of such courts.

DISPUTE RESOLUTION, ARBITRATION, AND CLASS ACTION WAIVER

Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court.

Agreement to Arbitrate. You and SSIbio agree that any dispute, claim, or controversy arising out of or relating to these Terms of Use, the Site, or SSIbio's products or services (collectively, "Disputes") shall be resolved exclusively through binding individual arbitration, rather than in court, except as provided below. This agreement to arbitrate is governed by the Federal Arbitration Act (9 U.S.C. § 1 et seq.).

Informal Resolution First. Before initiating arbitration, you agree to first contact SSIbio at marketing@ssibio.com and describe your dispute in writing. SSIbio will attempt to resolve the dispute informally within 30 days of receipt. If the dispute is not resolved within that period, either party may proceed to arbitration.

Arbitration Rules and Process. Arbitration shall be administered by JAMS (www.jamsadr.com) under its Streamlined Arbitration Rules and Procedures (for claims under $250,000) or its Comprehensive Arbitration Rules and Procedures (for claims over $250,000), as applicable. The arbitration shall be conducted by a single neutral arbitrator and shall take place in San Joaquin County, California, or remotely if agreed by both parties. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Costs of Arbitration. SSIbio will pay all JAMS filing, administration, and arbitrator fees for claims that do not exceed $10,000, unless the arbitrator finds the claim frivolous. For claims exceeding $10,000, fee allocation shall be governed by JAMS rules. Each party shall bear its own attorneys' fees unless the arbitrator awards fees pursuant to applicable law.

CLASS ACTION WAIVER. YOU AND SSIBIO EACH AGREE THAT ANY DISPUTE MUST BE BROUGHT IN YOUR OR OUR INDIVIDUAL CAPACITY ONLY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING. IF THIS CLASS ACTION WAIVER IS FOUND UNENFORCEABLE, THE ENTIRETY OF THE ARBITRATION AGREEMENT SHALL BE NULL AND VOID.

Exceptions to Arbitration. Notwithstanding the above, either party may seek relief in court for:

  • Claims that qualify for small claims court in San Joaquin County, California
  • Injunctive or other equitable relief to protect intellectual property rights or prevent unauthorized use of the Site
  • Claims that applicable law expressly exempts from arbitration

Opt-Out Right. You may opt out of this arbitration agreement within 30 days of first accepting these Terms by sending written notice to [INSERT LEGAL EMAIL] with the subject line "Arbitration Opt-Out." Opting out does not affect any other provision of these Terms.

Severability. If any part of this arbitration agreement (other than the Class Action Waiver) is found unenforceable, the remaining parts shall continue in effect.
 

12. Privacy

Your use of the Site is also governed by SSIbio's Privacy Policy, located at www.ssibio.com/privacypolicy, which is incorporated into these Terms by this reference. By using the Site, you consent to the data practices described in our Privacy Policy.
 

13. Accessibility

SSIbio is committed to making its website accessible to all users, including individuals with disabilities. We strive to comply with applicable accessibility standards, including those set forth under the Americans with Disabilities Act (ADA) and California's Unruh Civil Rights Act.

14. Entire Agreement

These Terms, together with SSIbio's Privacy Policy, constitute the entire agreement between you and SSIbio with respect to your use of the Site and supersede all prior or contemporaneous understandings, agreements, representations, and warranties regarding the Site.

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

SSIbio's failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
